CULTECH INC. (“CULTECH”) provides the CULTECH.CO.UK web site including CULTECH.CO.UK Home Page and other CULTECH.CO.UK content (collectively, the “CULTECH.CO.UK Site”) subject to your compliance with the terms and conditions below. PLEASE READ THESE TERMS AND CONDITIONS BEFORE ACCESSING THE CULTECH.CO.UK SITE. BY ACCESSING THE CULTECH.CO.UK SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, DO NOT USE THE CULTECH.CO.UK SITE. CULTECH may modify any aspect of the CULTECH.CO.UK Site or these terms and conditions at any time. 1. Rules

In addition, you:
* acknowledge and agree that:
* when using the CULTECH.CO.UK Site, information will be transmitted over a medium that is beyond the control of CULTECH and, as such, CULTECH cannot and does not guarantee or warrant that files available for downloading through the CULTECH.CO.UK Site will be free of infection or viruses, cancelbots, Trojan horses, worms, or other harmful or disruptive components; and
* CULTECH assumes no and disclaims all liability for the delay, failure, interruption, or corruption of any data transmitted in connection with the CULTECH.CO.UK Site; and

3. Monitoring
CULTECH has no obligation to monitor the CULTECH.CO.UK Site. However, you agree that CULTECH has the right to monitor the CULTECH.CO.UK Site from time to time and to disclose any information as necessary to satisfy any law or regulation, to operate the CULTECH.CO.UK Site properly, or in accordance with CULTECH.CO.UK’s Privacy Statement. CULTECH will not monitor or disclose any private electronic-mail message unless required by law. CULTECH reserves the right to refuse to post or to remove any information or materials, in whole or in part, that, in its sole discretion, are unacceptable, undesirable, or in violation of this Agreement. The CULTECH.CO.UK Site does not hire moderators to monitor the web site. All moderators for the CULTECH.CO.UK Site are volunteers and the CULTECH.CO.UK Site is not responsible for their actions.

9. Intellectual Property

CULTECH’s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provisions or right. If any of the provisions contained in these terms and conditions were determined to be void, invalid, or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions contained herein. These terms and conditions shall be governed by and construed in accordance with the applicable laws of the province of Alberta and the federal laws of Canada applicable therein. The parties have required that these terms and conditions and all documents relating thereto be drawn up in English.

CULTECH does not claim ownership of any information or materials you provide to CULTECH (including feedback and suggestions) or that you post, upload, input, or submit to the CULTECH.CO.UK Site or its associated services; however, by doing so, you grant to CULTECH and its affiliates:

You represent and warrant to CULTECH and its affiliates that you hold all necessary rights, including without limitation, copyright and trademark rights, to possess, use, transmit, and license any information or materials you post, upload, input, or submit to the CULTECH.CO.UK Site or to CULTECH and that such information or materials and your use of such does not violate or infringe upon any third party’s rights, including without limitation, copyright and trademark rights, relating to such information or materials.
